Clause: Intellectual Property, Logos, and Design Responsibility
1. Customer Authorization Guarantee:
When ordering the manufacture of products that include logos, emblems, trademarks, or any design provided by the Customer, the Customer represents and warrants that they are the legitimate owner of such rights or have the express and legal authorization for their use and reproduction. Acrux Global acts in good faith as a mere manufacturing service provider and is not obligated to verify the ownership of the visual assets provided by the Customer.
2. Indemnification and Liability:
The Client assumes all legal, civil, and criminal liability arising from any infringement of third-party intellectual property rights (trademarks, copyrights, or patents). The Client agrees to indemnify and hold harmless Acrux Global against any claim, demand, fine, or judicial or administrative penalty that may arise from the use of the provided materials.
3. Ownership of Design and Dies (Molds):
Artwork Ownership: Unless otherwise agreed in writing, the designs, 3D renderings, and graphic adaptations created by Acrux Global for the execution of the project are the intellectual property of the company. Payment for the manufacturing service does not grant the Client ownership of the source file or original design, but rather the right to use it in the purchased products.
Molds and Dies: The physical molds and dies manufactured for the production of the coins are the exclusive property of Acrux Global, even if a "Die-Making" or "Mold Opening" fee has been charged. These items will be kept in the company's custody for future replacements, but will not be delivered to the Client.
4. Portfolio Display Authorization:
The Client authorizes Acrux Global to use photographs of the final products (physical coins) on its website, social media, and sales catalogs for exclusively promotional purposes and to showcase the quality of the work, unless the Client expressly provides a written confidentiality restriction before production begins.
Jurisdiction and Applicable Law: These terms are governed by the laws of the Republic of Chile. Any dispute arising from these terms will be subject to the jurisdiction of the ordinary courts of Santiago, Chile.
